Contract Review

Contract Review by a Lawyer in Finland

Before you sign a contract, having a lawyer review it can save you from hidden risks, unfair terms and costly disputes. We review contracts governed by Finnish law — in English or Finnish — and give you a clear, plain-English assessment of what the terms mean and what to change.

Our service

A contract review is a legal assessment of a draft or existing agreement. The lawyer reads the contract, checks it against Finnish law, identifies risks and unreasonable terms, verifies that it reflects your intentions, and recommends changes. The review also covers how the contract would be interpreted if a disagreement arose — because in Finnish law, the interpretation of unclear terms can be decisive.

We review all types of contracts: sales agreements, service agreements, partnership agreements, employment contracts, lease agreements, shareholders' agreements, NDAs, and international contracts governed by Finnish law. We also review contracts drafted by the other party — these are the most important to review, because they may contain terms that favour the drafting party.

When you need a lawyer

Before signing

You have received a contract from the other party and want a lawyer to check it for risks, unfair terms and unclear obligations before you commit.

Significant contracts

The contract involves a substantial financial commitment — a sales agreement, service agreement, partnership agreement or employment contract — and the stakes are too high to sign without legal review.

International contracts

The contract involves a foreign party or cross-border elements, and you need to understand which law applies, which court has jurisdiction, and what the risks are under Finnish law.

Employment contracts

You have been offered a job and the employment contract contains terms you are unsure about — non-compete clauses, termination terms, or benefits.

Lease and property contracts

You are entering into a commercial lease, residential lease, or property-related agreement and want to ensure the terms are fair and enforceable.

How it works

  1. 1

    Send us the contract

You send us the contract draft — in English or Finnish — along with any context about what you want to achieve and any concerns you already have.

  2. 2

    Legal review

We read the contract clause by clause, check it against Finnish law, identify risks, unclear terms, missing provisions and potential liabilities, and assess whether it is balanced.

  3. 3

    Written assessment

We give you a clear, plain-English summary of the key findings: what is fine, what is risky, what is missing, and what we recommend changing.

  4. 4

    Negotiation support

If changes are needed, we draft amendment language, justify it legally, and can negotiate with the other party or their lawyer on your behalf.

  5. 5

    Final check

Before you sign, we review the final version to ensure the agreed changes have been incorporated and no new risks have been introduced.

What you need

  • The contract draft (in English or Finnish)
  • Any appendices, schedules or referenced documents
  • Correspondence with the other party about the contract
  • Your notes on what you want to achieve or are concerned about

How costs are formed

The cost of a contract review depends on the length and complexity of the contract. A short, straightforward agreement takes less time than a long, complex contract with many appendices. We provide a fixed price or a written cost estimate before starting.

A contract review is an investment: identifying a single unfair term or missing provision can save you far more in avoided disputes than the cost of the review.

We do not promise a specific outcome or a fixed timeline. Every contract is different, and the depth of review depends on the document and your needs.

Frequently asked questions

How long does a contract review take?

It depends on the length and complexity of the contract. A standard commercial agreement can usually be reviewed within a few business days. Urgent reviews can be arranged. We give you a timeline when you send us the contract.

Can you review a contract written in Finnish?

Yes. We review contracts in both English and Finnish. If the contract is in Finnish, we explain the key terms and risks to you in English so you fully understand what you are signing.

What if the other party refuses to make the changes you recommend?

We advise on which changes are essential and which are negotiable. If the other party refuses to make essential changes, we explain the risks of signing as-is so you can make an informed decision. In some cases, we can propose alternative language that achieves the same goal in a more acceptable form.

Do you review contracts governed by foreign law?

We review contracts governed by Finnish law. If the contract is governed by another country's law, we can identify Finnish-law issues and coordinate with a local lawyer in the relevant jurisdiction. Our Spain office allows us to handle Finnish-Spanish contracts in particular.

Is a contract review confidential?

Yes. All information you share with us is covered by statutory attorney-client confidentiality under Finnish law. We do not share your documents or information with any third party without your consent.

Can you help negotiate after the review?

Yes. After the review, we can draft amendment language, justify the changes legally, and negotiate with the other party or their lawyer. We aim for a contract that protects both parties and is legally sound.
